Independent Tutor Agreement

This Independent Tutor Agreement ("Agreement") is entered into by and between Raise the Bar LLP, operating the GotIt online educational platform (hereinafter referred to as the "Company" or "GotIt app"), and the undersigned independent tutor (hereinafter referred to as the "Independent Tutor"). Both parties expressly agree to execute this Agreement electronically in accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable laws governing electronic contracts and digital transactions in India.

1.1 GotIt operates an internet-based marketplace enabling Students to identify and engage Tutors for tutoring services. 1.2 Independent Tutor is granted a non-exclusive, revocable, and limited license to access and use GotIt's platform for the sole purpose of promoting and providing tutoring services. 1.3 Independent Tutor shall not advertise, sell, or promote any other services or goods that are not directly related to tutoring through the platform. 1.4 GotIt reserves the right to monitor Independent Tutor's activities on the platform to ensure compliance with this Agreement.

2.1 Independent Tutor acknowledges and agrees that: a) They are not an employee, agent, partner, joint venture, or franchisee of GotIt. b) GotIt does not exercise control over the manner, means, or methods used by Independent Tutor to conduct tutoring services. c) GotIt shall not be responsible for any employment benefits, tax liabilities, or statutory obligations applicable to Independent Tutor. 2.2 Nothing in this Agreement shall be construed as creating an employer-employee relationship between GotIt and the Independent Tutor.

3.1 Independent Tutor is free to provide tutoring services to other clients, platforms, or institutions outside GotIt. 3.2 However, Independent Tutor shall not solicit Students from GotIt's platform for private tutoring outside the platform, nor shall they engage in any conduct that diverts students away from GotIt for personal gain.

4.1 Independent Tutor has the flexibility to determine their own tutoring hours. 4.2 Independent Tutor shall have to pay a cancellation fee amounting to 50% of their hourly fee in case they cancel a booked lesson. 4.3 Independent Tutor is responsible for maintaining punctuality and professionalism in all scheduled sessions.

5.1 Independent Tutor shall determine their own session rates. Changing the default hourly rate will affect students who email a tutor after the time the change is made. Students who have been in contact with a tutor within three months prior to the time the rate change is made will be continue to be subject to the hourly rate that was listed on the tutor's profile at the time they first contacted the tutor. 5.2 GotIt shall collect payments from Students on behalf of the Independent Tutor and deduct a flat Platform Fee of 20%, as per GotIt's Tutor Payment Policies. This means 80% of the tutor's hourly rate will be distributed to the tutor after the mandatory 1% TCS deduction. 5.3 Under no circumstances shall Independent Tutor accept direct payments from students outside the platform. Any violation of this clause may result in account suspension or termination. 5.4 After a tutor enters accurate bank account details, funds will be released to the tutor's bank on the 1st and 15th of each month or the following business day in case of weekends and bank holidays. 5.5 Payments shall be processed as per GotIt's policies, and any disputes related to payments shall be resolved as per Clause 16 (Dispute Resolution).

6.1 Independent Tutor shall bear all expenses related to tutoring services, including but not limited to educational materials, software, hardware, and internet costs. 6.2 GotIt shall not reimburse Independent Tutor for any expenses incurred in providing services.

7.1 Independent Tutor shall be solely responsible for compliance with all applicable tax laws, including the Goods and Services Tax (GST), income tax, and other statutory deductions. 7.2 GotIt shall not be responsible for any tax deductions, filings, or remittances on behalf of the Independent Tutor.

8.1 Independent Tutor is responsible for obtaining and maintaining any necessary insurance coverage, including professional liability insurance and workers' compensation insurance (if required). 8.2 GotIt shall not be held liable for any injury, loss, or damage suffered by the Independent Tutor during tutoring sessions.

9.1 Independent Tutor shall maintain strict confidentiality of all Student-related information, including but not limited to personal details, learning progress, and contact information. 9.2 Independent Tutor shall not disclose, sell, or misuse any confidential information obtained through the platform.

10.1 Independent Tutor agrees to indemnify and hold harmless GotIt, its affiliates, directors, officers, and employees from any claims, damages, or liabilities arising from: a) The tutoring services provided by the Independent Tutor. b) Any breach of this Agreement by the Independent Tutor. c) Any legal claims related to misconduct, negligence, or fraudulent activities. 10.2 Independent Tutor acknowledges that GotIt does not perform background checks on students and shall exercise their own discretion in engaging with them.

11.1 Any educational content created and uploaded by the Independent Tutor shall remain their intellectual property. 11.2 However, Independent Tutor grants GotIt a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for platform-related purposes.

12.1 Independent Tutor shall not engage in unethical conduct, including but not limited to: a) Writing assignments or completing academic work on behalf of Students. b) Providing exam answers. c) Violating academic integrity policies of institutions.

13.1 GotIt may suspend or terminate Independent Tutor's account for: a) Failure to meet platform requirements. b) Violation of this Agreement. c) Misconduct, fraud, or solicitation of Students outside GotIt. d) Repeated complaints from Students. e) Any other reason, with 30 days' prior written notice. 13.2 Independent Tutor may deactivate their account at any time by providing written notice to GotIt.

14.1 This Agreement may be modified through a written amendment signed by both parties or an electronic update in compliance with the Information Technology Act, 2000.

15.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.1 This Agreement shall be governed by and construed in accordance with the laws of India. 16.2 Any dispute arising under this Agreement shall be settled through binding arbitration in New Delhi, in accordance with the Arbitration and Conciliation Act, 1996.

17.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior communications, whether oral or written. By electronically accepting this Agreement, the Independent Tutor acknowledges that they have read, understood, and agreed to the terms and conditions outlined herein.
