Independent Tutor Agreement

GotIt operates an internet-based marketplace enabling Students to identify and engage Tutors for tutoring services. • Tutors receive a non-exclusive, revocable, and limited license to access and use GotIt's platform • Tutors can only promote and provide tutoring services through the platform • No advertising or promotion of other services is allowed • GotIt monitors platform activities for compliance

As an Independent Tutor, you acknowledge that: • You are not an employee, agent, partner, joint venture, or franchisee of GotIt • GotIt does not control the manner, means, or methods of your tutoring services • GotIt is not responsible for employment benefits, tax liabilities, or statutory obligations • This agreement does not create an employer-employee relationship You are free to provide tutoring services to other platforms, but must not: • Solicit Students from GotIt's platform for private tutoring • Divert students away from GotIt for personal gain

Tutoring Sessions: • Tutors have flexibility to determine their own hours • Must maintain punctuality and professionalism • Should establish clear cancellation policies Payment Terms: • Tutors set their own session rates • GotIt collects payments and deducts a Platform Fee • Direct payments outside the platform are prohibited • All payment disputes are handled through official channels Expenses & Taxation: • Tutors bear all expenses related to tutoring services • Responsible for compliance with tax laws (GST, income tax) • Must maintain necessary insurance coverage

Confidentiality: • Maintain strict confidentiality of all Student information • No disclosure, sale, or misuse of confidential data Intellectual Property: • Educational content created by tutors remains their property • GotIt receives non-exclusive, worldwide, royalty-free license to use content • Content must comply with platform guidelines Academic Integrity: • No engaging in unethical conduct • No writing assignments or completing work for students • No providing exam answers • Must respect academic integrity policies

GotIt may suspend or terminate accounts for: • Failure to meet platform requirements • Agreement violations • Misconduct, fraud, or unauthorized solicitation • Repeated student complaints • Any reason with 30 days' notice Tutors may deactivate their account at any time with written notice. Indemnification: • Tutors must indemnify GotIt against claims from their services • GotIt is not liable for disputes between tutors and students • Tutors should exercise discretion in student engagement

This Agreement is governed by: • Laws of India • Information Technology Act, 2000 • Indian Contract Act, 1872 Dispute Resolution: • All disputes settled through binding arbitration in New Delhi • Follows Arbitration and Conciliation Act, 1996 • Agreement may be modified through written amendment • Invalid provisions don't affect remaining terms
